NX Group’s Tax Conduct Guidelines

The NX Group strives to contribute to society through logistics and fulfill the company's social responsibilities based on the "NX Group Corporate Philosophy" and “NX Group Charter of Conduct”.
In regards to taxation, we have established the "NX Group's Tax Conduct Guidelines" to ensure that our group understands and complies with the tax laws, regulations, and principles of each country and region where we operate, in order to fulfill our proper tax obligations.
Through transparent tax processing based on this tax conduct guidelines, we consider it an important responsibility and part of our social contribution to engage in proper tax payment. We will continue to work towards the development of each country and region and the enhancement of corporate value for the NX Group.

1. Making proper tax payments

The NX Group will not only contribute to society through its business but as a “good corporate citizen”, we will also fulfil societal obligations in relevant countries by conducting our business transactions in a manner that is fair, transparent, freely competitive and proper, while paying the proper amount of tax. We are committed to fulfilling our social responsibility by contributing to the economic and social development of each country and region.

2. Ensuring compliance with laws and regulations

While conducting its business globally, the NX Group understands and will comply with the tax laws and other relevant laws and regulations, tax treaties, the OECD Transfer Pricing Guidelines, BEPS Action Plans and other international standards of each country and region, including the spirit of the law.

The tax department is involved in important management issues, consults with external advisors when necessary and manages tax risks in a reasonable manner.

3. Ensuring transparency of international taxation

For intra-group transactions, the NX Group will comply with the OECD Transfer Pricing Guidelines, set prices based on the arm’s-length principle and prepare and submit transfer pricing documentation required for each country.

The NX Group will strive to prevent double taxation through appropriate allocation of income based on the above principles. The NX Group will also consider leveraging taxpayer relief programs available in relevant countries and Mutual Agreement Procedures and Advance Pricing Arrangements based on tax treaties to mitigate double taxation and lower tax risks.

4. Prohibiting tax avoidance

The NX Group will act in a highly ethical and transparent manner and will not engage in tax avoidance using mechanisms such as tax havens.

All transactions carried out by the NX Group comply with the relevant laws and regulations in each country and are conducted for business purposes. As such, the NX Group does not engage in profit shifting to low-tax countries through tax structures that do not align with actual business activities.

5. Relationship with the tax authorities

The NX Group will maintain a sound and properly functioning relationship with the tax authorities of each country that is based on trust and mutual understanding through the timely and appropriate disclosure of information, as well as cooperation in good faith to any requests from tax authorities.

If there is a difference in opinion between the NX Group and a tax authority on the treatment of a certain tax issue, we will work to resolve this issue in an appropriate manner. In addition, the NX Group will aim to resolve any issues in a friendly and cooperative manner through Advance Pricing Arrangements and other approaches as necessary.

6. Responding to stakeholders

The NX Group will apply for preferential tax treatment, optimize tax costs and improve shareholder value if they are in line with business goals and intended purpose of each country. In addition, NX Group will disclose tax information to stakeholders in a timely and appropriate manner to deepen mutual understanding based on information we deem useful.

7. Tax governance

This policy is approved by the The The NIPPON EXPRESS HOLDINGS board of directors, strives to uphold tax governance based on regular reviews of internal guidelines and helps fulfil the company’s societal obligations as a "good corporate citizen".

We will aim to establish a tax governance system that will be continuously followed observed by the entire group.

The NX Group has established an internal whistleblowing system called "NX Speak Up" to prevent or enable early detection of law violations, misconduct and other acts that violate corporate ethics by officers and employees.
